The Effective Date (as defined in the terms and conditions) shall be the Subscription Start Date. Special Condition: The second sentence of Section 23.a. of the Agreement is deleted and replaced with: "Any legal action or proceeding relating to this Agreement shall be instituted only in any state or federal court in Orange County, California." If this Order Form is executed and/or returned to NEOGOV by the Customer after the Subscription Start Date stated in this Order Form, NEOGOV may adjust the Subscription Start Date and the corresponding Subscription End Date, without increasing the total fees, based on the date NEOGOV activates the subscription, provided the total -length of the subscription term does not change.
