qj <br />—'()Z —0 <br />PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF SANTA ANA AND <br />FULLMER CONTRACT FURNITURE AND SERVICES <br />THIS �GFu�ner <br />ihiday of 20by and betweeContract Furniture and Services ("Vendor)" and the City of Santa Ana, <br />a charter city and municipal corporation organized and existing tinder the Constitution and laws <br />of the State of California ("City"). <br />RECITALS: <br />A. The City desires to retain a vendor having skill and knowledge in the field of <br />furniture systems for the purchase, delivery and installation of office and ancillary <br />furniture for the SAPIN project room. <br />B. In undertaking the performance of this Agreement, Vendor represents that it is <br />knowledgeable in its field and that any services performed by Vendor Linder this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional firm in this field. <br />NOW THEREFORE, in consideration of their mutual and respective promises, the <br />parties hereto do hereby agree as follows: <br />SCOPE OF SERVICES OF VENDOR <br />Vendor agrees to, at its own cost and expense except for the compensation specified in <br />this Agreement, provide, deliver and install office and ancillary fun-fiture as specified in Exhibit <br />A (Fullmer sales contract), <br />2. COMPENSATION. The City agrees to pay, and Vendor agrees to accept <br />payment as described below for the purchase, devIiery and installation of office and ancillary <br />furniture. Provided, however, the total aggregate compensation hereunder shall not exceed <br />$40,000. <br />50% payment due LIP011 order. <br />50% payrtient due upon acceptance of new furniture. <br />3. TERM. The services to be performed pursuant to this Agreement shall be <br />available to commence on the date of execution, and shall continue until terminated by either <br />party as set forth hereinbelow (Section 7). <br />4. INDEMNIFICATION. Vendor agrees to indemnify, defend and hold harmless <br />
