qj —'()Z —0 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF SANTA ANA AND FULLMER CONTRACT FURNITURE AND SERVICES THIS �GFu�ner ihiday of 20by and betweeContract Furniture and Services ("Vendor)" and the City of Santa Ana, a charter city and municipal corporation organized and existing tinder the Constitution and laws of the State of California ("City"). RECITALS: A. The City desires to retain a vendor having skill and knowledge in the field of furniture systems for the purchase, delivery and installation of office and ancillary furniture for the SAPIN project room. B. In undertaking the performance of this Agreement, Vendor represents that it is knowledgeable in its field and that any services performed by Vendor Linder this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional firm in this field. NOW THEREFORE, in consideration of their mutual and respective promises, the parties hereto do hereby agree as follows: SCOPE OF SERVICES OF VENDOR Vendor agrees to, at its own cost and expense except for the compensation specified in this Agreement, provide, deliver and install office and ancillary fun-fiture as specified in Exhibit A (Fullmer sales contract), 2. COMPENSATION. The City agrees to pay, and Vendor agrees to accept payment as described below for the purchase, devIiery and installation of office and ancillary furniture. Provided, however, the total aggregate compensation hereunder shall not exceed $40,000. 50% payment due LIP011 order. 50% payrtient due upon acceptance of new furniture. 3. TERM. The services to be performed pursuant to this Agreement shall be available to commence on the date of execution, and shall continue until terminated by either party as set forth hereinbelow (Section 7). 4.
