Professional Liability Insurance Policy <br />false or fraudulent or willfully concealed or misrepresented any fact or Circumstance <br />material to the granting of coverage under this Policy. <br />COOPERATION AND ASSISTANCE OF CLAIMS <br />Each Insured shall have the duty to fully cooperate with and assist the Company, with <br />respect to the investigation, defense, settlement, arbitration or appeal of any Claim. No <br />Insured shall be indemnified hereunder for loss of earnings incurred in such cooperation <br />or assistance, except as provided in Section III. SUPPLEMENTARY COVERAGES AND <br />PAYMENTS, B. DEFENDANTS REIMBURSEMENT, nor shall such loss of earnings apply <br />towards the satisfaction of the deductible. <br />J. HEADINGS <br />The descriptions in the headings of this Policy are solely for convenience and form no part <br />of the Policy terms and conditions. <br />K. INDEMNIFICATION <br />The Named Insured specified in the Declarations shall be deemed agent of each Insured <br />with respect to all matters involving this Policy, however, the Company shall have the right <br />to seek indemnification from any Insured or any other person who may be legally liable for <br />the debts of the Named Insured. <br />L. NO ACTION AGAINST COMPANY <br />No action shall lie against the Company unless, as a condition precedent thereto, each <br />Insured has fully complied with all the provisions of the Policy, or until the amount of the <br />Named Insured's obligation to pay has been finally determined either by written <br />agreement of the Named Insured, the claimant and the Company or by final judgment <br />against the Named Insured after the actual trial of the issues and the period of time to <br />appeal has elapsed without an appeal having been taken or, if an appeal has been taken, <br />then until after such appeal has been determined. <br />M. NON -RENEWAL <br />The Company may non -renew this Policy by mailing a written notice of non -renewal to the <br />First Named Insured at the last known address appearing in the Company's records. <br />Written notice shall be mailed at least thirty (30) days before the end of the Policy Period. <br />The notice of proof of mailing shall be sufficient proof that such notice was mailed. <br />N. NOTICE OF CIRCUMSTANCE AND CLAIMS <br />The Named Insured shall, as soon as practicable, provide written notice of any Claim <br />received or Circumstance. Such written notice: <br />1. Shall be given to the Company asset forth in the Claims Notice Endorsement <br />attached to this Policy; and <br />2. Shall contain complete details regarding the Claim or Circumstance, including but not <br />limited to: <br />a. The exact date the Circumstance was discovered or the Claim was made; <br />b. The nature and location, and details giving rise to such Circumstance or Claim; <br />c.
