extent which may reasonably be expected from a professional <br />consulting firm in that field. <br />3. PERFORMANCE BY THE CITY. The City shall provide <br />Consultants with all records in the possession of the City which <br />will be of assistance to Consultants in the performance of this <br />Agreement. <br />4. INDEPENDENT CONTRACTOR. Consultants agrees that they <br />are independent contractors and not employees of the City. <br />Consultants shall not subcontract any of the services required <br />without written approval of the City. <br />3. COMPENSATION. The City agrees to pay, and Consultants <br />agree to accept as total payment for said services, that <br />compensation payable hereunder SHALL NOT EXCEED Thirty Nine <br />Thousand One Hundred Eight Dollars ($39,108.00) for all hours <br />worked, travel and expenses. Payment by the City shall be made <br />within thirty (30) days following receipt of a proper invoice for <br />work performed during the preceding month, subject to City <br />accounting procedures. <br />6. TIME FOR COMPLETION. The services to be performed <br />pursuant to this Agreement shall be completed on or before August <br />1, 2000, subject to extension with the approval of the City <br />Attorney. <br />7. INDEMNIFICATION. Consultants agree to indemnify, defend <br />and hold harmless the City, its officers, agents, employees and <br />volunteers against any and all damages arising out of, or related <br />to, the negligent acts or omissions of Consultants or of the <br />officers, agents, or employees of Consultants, in the performance <br />of this Agreement. <br />8., INSURANCE. The City Attorney may waive or reduce the <br />requirements of this section upon, determining them to be <br />unreasonably burdensome to Consultant and not necessary for the <br />protection of the City. <br />With respect to performance of work under this agreement, <br />Consultants shall maintain and shall require its subcontractors, <br />if any, to maintain insurance as described below: <br />(1) Worker's compensation insurance with statutory limits, <br />and employer's liability insurance with limits of not <br />less than $1,000,000 per accident. <br />(2) Professional liability (errors and omissions) <br />insurance, with a combined single limit of not less <br />than $1,000,000.00 per occurrence. Said policy or <br />policies shall give to CITY prompt and timely notice of <br />V, <br />
