II SAJC DUTIES SAJC agrees to: 1. Assist in formulating a master plan for the develop- ment and construction of the Exercise Trail, said plan to contain the layout for the Exercise Trail and to indicate the materials to be used in the construction thereof. 2. Provide individuals to plan and construct the Exercise Trail in accordance with said master plan. 3. Provide materials to equip each of the exercise stations in accordance with said master plan. 4. Provide a coordinator to work with PENNEY and CITY in developing and constructing the Exercise Trail. 5. Assist in planning and executing the grand opening events and other programs to encourage the continued use of the Exercise Trail. III CITY's DUTIES CITY agrees to: 1. Provide a master plan for the development and construction of the Exercise Trail, said plan to contain the layout for the Exercise Trail and to indicate the materials to be used in the construction thereof. 2. Provide a suitable site on which to construct the Exercise Trail. 3. Review and approve the master plan for the con- struction of the exercise stations and the Exercise Trail. 4. Provide a representative to meet and concur with PENNEY and SAJC in respect to the planning and construction of the Exercise Trail. 5. Provide assistance in the layout of the Exercise Trail course and supervision of the construction thereof. TV OWNERSHIP 1. Upon completion of the Exercise Trail and prior to its opening, a CITY representative shall inspect and approve all structures on the Exercise Trail. Upon approval, the Exercise Trail and equipment installed at all of the exercise stations shall become the property of CITY. 2. PENNEY shall maintain for a period of three (3) years after completion of the Exercise Trail a supply of replacement signs for the Exercise Trail, which signs may be purchased by CITY at PENNEY's cost during this time. -2-
