NSRf14AftnUlORE 60IMC70D-01BD-46FC-Al14-A572DE63F4D4 <br />WORK MAY PROCEED <br />CITY CLERK <br />DATE: SEP 10 2024 <br />N-2024-263-01 <br />o Pius k) CITY OF SANTA ANA <br />Ci M� p a) FIRST AMENDMENT TO LICENSE AND PARTNERSHIP AGREEMENT WITH <br />NORTHGATE GONZALEZ MARKETS, INC., FOR FIESTAS PATRIAS 2024 <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on August 30, <br />2024, by and between Northgate Gonzalez Markets, Inc., a California corporation (`Partner"), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. N-2024-263 ("Agreement') dated July 30, 2024, to <br />retain a partner and secure an exclusive license to real property for the City's Fiestas <br />Patrias 2024 event. <br />B. The Agreement is in full force and effect through September 30, 2024. <br />C. The parties now wish to amend the Agreement to increase the License Area. <br />The Parties therefore agree: <br />1. Recital C, is hereby amended to read: <br />Partner is the owner of certain real property located in the City of Santa Ana, County of <br />Orange, California, more specifically identified as 409 East 4th Street, Santa Ana, CA <br />92701 (APN 398-325-01) and 509 East 4th Street, Santa Ana, CA 92701 (Parcels <br />398-330-01; 398-330-02; 398-330-03; 398-330-04; 398-330-05; 398-330-06; 398-330-07; <br />398-330-08; 398-330-09), as depicted in Exhibit A-1 to this First Amendment ("License <br />Area'). <br />2. Recital D, is hereby amended to read: <br />City desires to use the License Area for the purpose of storing equipment and erecting a <br />main stage area for the Event ("Permitted Uses") <br />3. Section 3b, PARTNERSHIP CONSIDERATION, is amended to also include the <br />storage of equipment. <br />4. Except as modified by this First Amendment all terms and conditions of the Agreement <br />shall remain in full force and effect. <br />[signature page follows] <br />Page 1 of 2 <br />
