') --/,) �) U AGREEMENT THIS AGREEMENT, is made and entered into this 7th day of October, 1997, by and between the CITY OF SANTA ANA, a public body, corporate and politic ("City") and MINI -SYSTEMS ASSOCIATES ("Consultant"). WHEREAS, the City desires to retain the services of Consultant to provide temporary technical contract service persons and consulting services. THEREFORE, in consideration of their mutual and respective promises, the parties hereto do hereby state as follows: Terms and Conditions All terms and conditions more fully set forth in the Request for Proposals ("RFP")- "Temporary Technical Contract Service Persons and Consulting Services", July 1997, shall have full force and effect in this Agreement. Said terms and conditions are attached hereto as Exhibit A, and incorporated herein by reference. The term of this Agreement shall be one year, with an option, at City's discretion, of four (4), one (1) year renewals (Exhibit A, section 5.28). 2. Scope of Services Consultant has the requisite knowledge, skills, and expertise and agrees to perform the services as fully set forth in the RFP (Exhibit A) for the category of telecommunications services (section 1.7) and for payrolling (section 2.1c). 3. Compensation The City will pay the agreed upon percentage mark-up rate over the base hourly rate(s), as outlined in Exhibit A (sections 2.3, 5A4, 5.17), 4. Termination of Agreement This Agreement may be terminated by either party upon thirty (30) days written notice. The City Manager is authorized to terminate this Agreement on behalf of the City at his discretion. 5. Independent Contractor All temporary contract persons provided by Consultant are employees of Consultant, an independent contractor, and not employees/agents of the City (Exhibit A, section 5.15).
