A-2001-239 <br />7 <br />NL offl\C"IL <br />PURCHASE AGREEMENT BETWEEN <br />THE CITY OF SANTA ANA AND MOTOROLA <br />THIS AGREEMENT, made and entered into this 4-IL, day of _J) 2001 by <br />and between Motorola, a Delaware corporation (hereinafter "Motorola"), by and through the <br />United States & Canada Group of its Commercial, Government, and Industrial Solutions Sector <br />(hereinafter "CGISS") and the City of Santa Ana, a charter city and 11-ILinicipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City <br />RECITALS <br />A. 'The City desires to retain Motorola because of its special skill and knowledge in the <br />field of communications equipment. Motorola has been selected due to the need for two <br />way communication between the park rangers and the police officers. <br />B. Motorola represents that Motorola is able and willing to provide the required equipment <br />to the City. <br />NOW THEREFORE, in consideration of the Mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />a. Motorola agrees to sell and deliver and the City agrees to purchase the equipment <br />consisting of seven (7) 800 MGZ radios and equipment, as more specifically <br />described in Exhibit A to this Agreement. <br />b. Motorola agrees to provide the Motorola Standard Equipment Warranty as set forth in <br />Exhibit B. <br />2. COMPENSATION <br />a. City agrees to pay, and Motorola agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A. The total sure to be expended under this Agreement, <br />shall not exceed S 29,935.24 during the term of this Agreement. Payment by City shall be made <br />within thirty (30) days following receipt of proper invoice, subject to City accounting, <br />procedures. <br />3. TERM <br />J <br />This Agreement shall commence on the date first written above and terminate on <br />2002, unless terminated earlier in accordance with Section 12, below. The term <br />of this Agreement may be extended upon a writing executed by the Executive Director of the <br />Parks, Recreation and Community Services Agency and the City Attorney. <br />1� <br />
