<br /> Eyyti ijrpnKsiohla)Parcel Number 405-274-10, 11,and 12),and 1240 West Washington Avenue(Assessor Parcel Number 405-274-13),
<br /> in the City of Santa Ana,County of Orange(collectively the"Properties"),does hereby grant to the Southern
<br /> California Edison Company,a California Corporation(collectively referred to as the"SCE"),the right to enter the
<br /> Properties and hereby grants to SCE a License and Right-of-Entry for the following purpose:
<br /> Conduct environmental testing by taking soil samples,and if necessary'remediate by shallow soil
<br /> excavation,and hauling away contaminated soil. See site location in the attached EXHIBIT A.
<br /> SCE agrees to indemnify,defend,and hold harmless the Owner from and against any and all actions,suits,claims,
<br /> demands,judgments,losses,expenses,or liabilities, injuries and damages to persons and property,including
<br /> death, arising out of or related to SCE's use of the Properties or the entry by any SCE party on the Properties,
<br /> including without limitation,SCE's guests, invitees,or contractors. SCE further agrees to repair any damage to the
<br /> Properties caused by the exercise of this License and Right of Entry at its sole cost and expense,and to restore the
<br /> Properties,with the exception of any improvements left thereon,as nearly as practicable to the state in which it
<br /> existed prior to the use of the Properties by the SCE.
<br /> The rights herein granted to SCE,are exclusive,and SCE agrees not to assign,transfer, lease, pledge,or otherwise
<br /> dispose of its License and Right-of-Entry without the prior express written approval of the Owner.
<br /> This License and Right of Entry shall expire upon completion of said work,and in any event, no later than
<br /> December 15,2024,unless terminated earlier or extended by written agreement between the Owner and SCE.
