EXHIBIT 1 <br />promotional purposes, announcements, displays, or press releases, without County's prior written <br />consent is expressly prohibited. <br />B. Subrecipient may develop and publish information related to this Contract where all of the <br />following conditions are satisfied: <br />1. Subrecipient's Project Manager must provide its written approval of the content and <br />publication of the information at least 5 days prior to Subrecipient publishing the information, <br />unless a different timeframe for approval is agreed upon by the Project Manager; <br />2. Unless directed otherwise by the County's Project Manager, the information will include a <br />statement that the program, wholly or in part, is funded through County, State and Federal <br />government funds from the WIOA Program;The information does not give the appearance <br />that the County, its officers, employees, or agencies endorse: <br />a. any commercial product or service; and, <br />b. any product or service provided by Subrecipient, unless approved in writing by the <br />Subrecipient's Project Manager; and, <br />If Subrecipient uses social media (such as Facebook, Twitter, YouTube or other publicly available social <br />media sites) to publish information related to this Contract, Subrecipient shall develop social media policies <br />and procedures and have them available to the County's Project Manager. Subrecipient shall comply with <br />County Social Media Use Policy and Procedures as they pertain to any social media developed in support <br />of the services described within this Contract. The policy is available on the Internet at <br />httv://www.ocgov.com/gov/ceo/cio/govvolicies. <br />41. Maximum Obligation: <br />The total Maximum Obligation of County to the Subrecipient for the cost of services provided in accordance <br />with this Contract is $110,000, as further detailed in the "Budget Schedule" Attachment. <br />42. Service Contract — Follow -On Work: <br />No person, firm, subsidiary or Subcontractor of a firm that has been awarded a consulting services <br />contract or a contract which includes a consulting component may be awarded a Contract for the <br />performance of services, the purchase of goods or supplies, or the provision of any other related action <br />which arises from or can reasonably be deemed an end -product of work performed under the initial <br />consulting to consulting -related Contract. <br />43. Subrecipient Bankruptcy/Insolvency:. <br />If the Subrecipient should be adjudged bankrupt or should have a general assignment for the benefit of its <br />creditors or if a receiver should be appointed on account of the Subrecipient's insolvency, the County <br />may terminate this Contract. <br />County of Orange MA- 012- 25010265 Page 26 of 54 <br />OC Community Resources Regional Workforce Training Services <br />
