EXHIBIT 1 <br />academic counseling for participants and inform them of Subrecipient's services available to them. <br />D. Labor standards- Subrecipient shall adhere to the Labor standards described in the Act, including <br />Section 181 of the Act, and all other applicable codes and regulations. <br />25. Policies and Procedures <br />Subrecipient shall monitor its program for compliance with the provisions of this Contract. <br />26. Sweat -free Code of Conduct <br />All Subrecipients contracting for the procurement or laundering of apparel, garments or corresponding <br />accessories, or the procurement of equipment, materials, or supplies, other than procurement related to a <br />public works contract, declare under penalty of perjury that no apparel, garments or corresponding <br />accessories, equipment, or supplies have been furnished to the Subrecipient from sources that include <br />sweatshop labor, forced labor, convict labor, indentured labor under penal sanction, abusive forms of <br />child labor or exploitation of children in sweatshop labor. The Subrecipient further declares under penalty <br />of perjury that they adhere to the Sweat -free Code of Conduct as set forth on the California Department of <br />Industrial Relations website located at www.dir.ca.gov, and Public Contract Code Section 6108. <br />The Subrecipient agrees to cooperate fully in providing reasonable access to the Subrecipient's records, <br />documents, agents or employees, or premises if reasonably required by authorized officials of the State or <br />County, the Department of Industrial Relations, or the Department of Justice to determine the <br />Subrecipient's compliance with the requirements under this paragraph. <br />27. S.W.A.G <br />The Subrecipient and its SubcontractorNendors shall comply with Governor's Executive Order 2-18- <br />2011, which bans expenditures on promotional and marketing items colloquially known as "S.W.A.G." or <br />"Stuff We All Get." <br />28. Corporate Status <br />All corporate Subrecipients shall be registered with the California Secretary of State and shall be in good <br />standing, without suspension by the California Secretary of State, Franchise Tax Board, or Internal <br />Revenue service. The corporate Subrecipient shall maintain the good status standing with the Secretary of <br />State of California throughout the term of this Contract. Any change in corporate status or suspension <br />shall be reported by Subrecipient immediately in writing to County's Project Manager. If Subrecipient <br />fails to maintain good standing or has failed to be in good standing at the time of the effective date of this <br />Contract, County, in addition to all remedies available under the law and this Contract, pursuant to <br />Termination provision of this Contract, terminate this Contract for cause. <br />Subrecipient, by signing this Contract, does swear under penalty of perjury that no more than one (1) final <br />unappealable finding of contempt of court by a federal court has been issued against Subrecipient within <br />County of Orange MA-012-25010265 Page 41 of 54 <br />OC Community Resources Regional Workforce Training Services <br />
