review of events and actions taken to make changes in business practices in providing the <br />services, if necessary. <br />6. Notification of Legal Requests: If legally permissible, the Contractor shall contact the <br />Purchasing Entity upon receipt of any electronic discovery, litigation holds, discovery searches <br />and expert testimonies related to the Purchasing Entity's data under the Master Agreement, or <br />which in any way might reasonably require access to the data of the Purchasing Entity. The <br />Contractor shall not respond to subpoenas, service of process and other legal requests related <br />to the Purchasing Entity without first notifying and obtaining the approval of the Purchasing <br />Entity, unless prohibited by law. <br />7. Termination and Suspension of Service: <br />a. In the event of an early termination of the Master Agreement, Participating or SLA, <br />Contractor shall allow for the Purchasing Entity to retrieve its digital content and provide <br />for the subsequent secure disposal of the Purchasing Entity's digital content. <br />b. During any period of service suspension, the Contractor shall not take any action to <br />intentionally erase or otherwise dispose of any of the Purchasing Entity's data. <br />c. In the event of early termination of any Services or agreement in entirety, the <br />Contractor shall not take any action to intentionally erase any Purchasing Entity's data for a <br />period of 1) 45 days after the effective date of termination, if the termination is for <br />convenience; or 2) 60 days after the effective date of termination, if the termination is for <br />cause. After such day period, the Contractor shall have no obligation to maintain or provide <br />any Purchasing Entity data and shall thereafter, unless legally prohibited, delete all <br />Purchasing Entity data in its systems or otherwise in its possession or under its control. In <br />the event of either termination for cause, the Contractor will impose no fees for access and <br />retrieval of digital content to the Purchasing Entity. <br />d. The Purchasing Entity shall be entitled to any post termination assistance generally <br />made available with respect to the services, unless a unique data retrieval arrangement has <br />been established as part of an SLA. <br />e. Upon termination of the Services or the Agreement in its entirety, Contractor shall <br />securely dispose of all Purchasing Entity's data in all of its forms, such as disk, CD/ DVD, <br />backup tape and paper, unless stipulated otherwise by the Purchasing Entity. Data shall be <br />permanently deleted and shall not be recoverable, according to National Institute of <br />Standards and Technology (NIST)-approved methods. Certificates of destruction shall be <br />provided to the Purchasing Entity. <br />8. Background Checks: <br />a. Upon the request of the Purchasing Entity, the Contractor shall conduct criminal <br />background checks and not utilize any staff, including subcontractors, to fulfill the <br />obligations of the Master Agreement who have been convicted of any crime of dishonesty, <br />
