SOLICITATION # CH16012 <br />EXCEPTIONS AND/OR ADDITIONS TO THE <br />STANDARD TERMS AND CONDITIONS <br />Proposed exceptions and/or additions to the Master Agreement Terms and Conditions, including the <br />exhibits, must be submitted in this section. Offeror must provide all proposed exceptions and/or additions, <br />including an Offeror's terms and conditions, license agreements, or service level agreements in Microsoft <br />Word format for redline editing. <br />Offeror must also provide the name, contact information, and access to the person(s) that will be directly <br />involved in terms and conditions negotiations. If there are no exceptions or additions to the Master <br />Agreement Terms and Conditions, write "None" in this section. <br />The point of contact who will be directly involved in terms and conditions negotiations is Jack Dixon — Contract <br />Specialist. He can be reached at — 703.230.7545 / Jack. Dixon(a�Carahsoft.com. <br />32. Transition Assistance: <br />a. The Contractor shall reasonably cooperate with other parties in connection with all Services to be delivered under <br />this Master Agreement, including without limitation any successor service provider to whom a Purchasing Entity's <br />Data is transferred in connection with the termination or expiration of this Master Agreement. The Contractor shall <br />assist a Purchasing Entity in exporting and extracting a Purchasing Entity's Data, in a format usable without the use <br />of the Services and as agreed by a Purchasing Entity, at no additional cost to the Purchasing Entity. Any transition <br />services requested by a Purchasing Entity involving additional knowledge transfer and support may be subject to a <br />separate transition Statement of Work. <br />b. A Purchasing Entity and the Contractor shall, when reasonable, create a Transition Plan Document identifying the <br />transition services to be provided and including a Statement of Work if applicable. <br />c. The Contractor must maintain the confidentiality and security of a Purchasing Entity's Data during the transition <br />services and thereafter as required by the Purchasing Entity. <br />Carahsoft takes exception to section 32 — Transition Assistance and request it includes the following. <br />9.4 RETURN OF CUSTOMER DATA. Carahsoft shall provide Customer Data in its standard database export <br />format, excluding the any Core Technology, to Customer upon Customer's written request and at no additional cost <br />to Customer, provided that Carahsoft receives such request from Customer within forty-five (45) days following <br />the expiration or termination of a provided service. If Carahsoft has not received a request within the foregoing <br />time frame, Carahsoft shall have no obligation to maintain or provide any Customer Data and shall thereafter, <br />unless legally prohibited, have the right to delete all Customer Data in its systems or otherwise in its possession or <br />under its control and delete Customer's instances of any provided service. <br />Carahsoft takes exception to Section 13 — Indemnification.
