D. Special Definition <br />Public Health Authority means a governmental company or authority, or a person or entity <br />acting under a grant of authority from or a contract with such a public company, including <br />the employees or agents of the public company, its contractors and those to whom it has <br />granted authority, that is responsible for public health matters as part of its official <br />mandate. <br />E. Policy <br />State and federal law permit and require certain receipt, uses and disclosures of <br />Personally -Identifiable Information such as those related to Business Associate <br />Agreements. Additional uses and/or disclosures are allowed or required that related to <br />public responsibility that require no agreement or authorization on the part of the <br />individual who is the subject of the PII. It is the policy of Virtru to obtain, use and disclose <br />PII only as permitted and/or required by law or regulation including the following <br />situations: <br />Treatment, Payment or Healthcare Operations: Personally -Identifiable <br />Information may be used or disclosed for the purposes of providing treatment, <br />payment or healthcare operations. Such disclosures will be made only as <br />allowed by and pursuant to prevailing state and federal law. <br />a. Discussions involving Personally -Identifiable Information shall be <br />conducted only in appropriate business areas including but not limited <br />to offices, conference rooms and other non-public areas; <br />b. Conducted only for the purpose of fulfilling a legitimate business need; <br />and <br />c. Conducted with regard to and in compliance with the "Minimum <br />Necessary Standard." (Minimum Necessary Standardl <br />2. Contained in a Business Associate Agreement: For permitted and required uses <br />or disclosures of Personally -Identifiable Information that are consistent with <br />those authorized by the Covered Entity in a Business Associate Agreement. <br />3. Required by Law: Personally -Identifiable Information may be used or disclosed <br />to the extent such use or disclosure complies with and is limited to the <br />requirements of such law. <br />4. Abuse and Neglect: Except for reports of child abuse or neglect, <br />Personally -Identifiable Information about an individual believed to be a victim <br />of abuse, neglect, or domestic violence may be disclosed to a governmental <br />authority authorized to receive such reports if the individual agrees or the <br />reporting entity believes, in the exercise of professional judgment, that the <br />disclosure is necessary to prevent serious physical harm. If the individual lacks <br />the capacity to agree, disclosure may be made if not intended for use against <br />the individual and delaying disclosure would materially hinder law <br />Rev.2015.8.25 <br />17 <br />
