INSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CITY CLEAR 4 2025 <br />DATE: <br />N-2025-011 <br />AGREEMENT WITH VCA ANIMAL HOSPITALS, INC. TO PROVIDE EMERGENCY <br />CARE AND SPECIALITY VETERINARY SERVICES TO POLICE CANINES <br />` THIS AGREEMENT is made and entered into on this 21' day of January 2025, by and between <br />VCA Animal Hospitals, Inc. a California Corporation, dba VCA West Coast Specialty <br />f6ftr- elwKedtLIWK nd Emergency Animal Hospital ("Consultant" or "VCA Fountain Valley"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. Santa Ana Police Department canines currently receive veterinary care from VCA Yorba <br />under Agreement No. N-2024-278, which has a not to exceed amount of $49,500 and is <br />still in effect. VCA Yorba does not provide emergency care and specialty veterinary <br />services. <br />B. The City desires to retain a consultant who can provide emergency care and specialty <br />veterinary services to its canines. VCA Fountain Valley represents that it is able and willing <br />to provide such services to the City. <br />C. In undertaking the performance of this Agreement, VCA Fountain Valley represents that <br />it is knowledgeable in its field and that any services performed by VCA Fountain Valley <br />under this Agreement will be performed in compliance with such standards as may <br />reasonably be expected from a professional consultant in the field of veterinary services. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. VCA Fountain Valley shall perform during the term of this Agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental customary <br />work required to fully and adequately complete the services, as provided by the VCA <br />Fountain Valley. During the term of this Agreement, VCA Fountain Valley will <br />provide, emergency care and specialty veterinary services and medication during the <br />term of the Agreement and will provide in writing, information on specific costs and <br />services as City may require, from time to time. <br />b. In connection with the services under this Agreement, the parties agree as follows: <br />i. Canines must be muzzled and accompanied by a handler at all times for any <br />medical services rendered. <br />ii. No play time or baths will be provided by VCA Fountain Valley for any <br />canines, regardless of type of training. <br />iii. VCA Fountain Valley may decide, in its sole discretion, to refuse any service <br />that would put an associate at risk and may alternatively require overnight <br />hospitalization if the canine cannot be handled safely. <br />Page 1 of 9 <br />
