<br />8 <br /> <br />vas Software License, Service, a'Maintenance Agreement <br /> <br />10. <br /> <br />ENTIRE AGREEMENT <br /> <br />This Maintenance Agreement constitutes the entire agreement of the parties and the terms and conditions stated <br />herein supersede all prior agreements between the parties relating to the subject matter of this Maintenance <br />Agreement. <br /> <br />11. <br /> <br />MODlFICA nONS TO AGREEMENT <br /> <br />VOS and Client may amend this Maintenance Agreement in writing if mutually agreeable by both parties. <br /> <br />12. <br /> <br />ATTORNEYS' FEES <br /> <br />If any legal action is necessary to enforce the terms of this Maintenance Agreement, the prevailing party shall be <br />entitled to reasonable attorneys' fees in addition to any other relief to which that party may be entitled. This <br />provision shall be construed as applicable to the entire Maintenance Agreement. <br /> <br />13. <br /> <br />PARTIES BOUND <br /> <br />This Agreement shall be binding on and inure to the benefit ofVOS and Client and their respective successors and <br />any approved assignees. <br /> <br />14. <br /> <br />NOTICES <br /> <br />Any notices or reports required by this Maintenance Agreement to be given by one party to the other party shall be <br />made in writing to that party at the address shown at the beginning of this Maintenance Agreement or at any other <br />address that may be designated in writing from time to time by that party. <br /> <br />15. <br /> <br />GOVERNING LAW <br /> <br />This Agreement shall be governed by and construed in accordance with the laws of the State of California. In the <br />event legal action is required, the venue for such action shall be Orange County, California. <br /> <br />18 <br />
