Notwithstanding any other provision of this <br />Agreement, any Participant may on any date secure the payment <br />of all of its unpaid Basic Premium by an irrevocable deposit by <br />it with the Trustee of (i) an amount of cash which, together <br />with amounts on deposit in such Participant's Account. in the <br />Principal and Interest Fund which are not required to satisfy <br />the Rebate Requirement (as defined in Exhibit C to the <br />Indenture), is sufficient to pay all its unpaid Basic Premium <br />in accordance with the Basic Premium payment schedule set forth <br />in Exhibit A hereto, or by prepayment thereof pursuant to <br />Section 11.3 hereof, as the Participant shall instruct at the <br />time of said deposit, or (ii) Federal Securities together with <br />cash, if required, in such amount as will, in the opinion of an <br />independent certified public accountant, together with interest <br />to accrue thereon, and money then on deposit in such <br />Participant's Account of the Principal and interest Fund <br />together with interest thereon but net of any amounts which may <br />be required to satisfy the Rebate Requirement, be fully <br />sufficient to pay all unpaid Basic Premium on their respective <br />Basic Premium Payment Dates in accordance with Schedule A or by <br />prepayment thereof pursuant to Section 11.3 hereof, as the <br />Participant shall instruct at,the time of said deposit. Any <br />funds or Federal Securities so deposited shall be deposited by <br />the Trustee in such Participant's account of the Prepayment <br />Fund pursuant to the Indenture. <br /> <br /> In the event of a deposit pursuant to this Section, all <br />Basic Premium obligations of such Participant under this <br />Agreement, and all security provided by this Agreement for said <br />obligations, shall cease and terminate, excepting only the <br />obligation of such Participant to make, or cause to be made, <br />payments of such Participant's Basic Premium from the deposit <br />made by the Participant pursuant to this Section.
