<br />EXHIBIT F <br /> <br />MEMORANDUM OF LAND LEASE AGREEMENT <br /> <br />THIS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as of <br />,2004 by and between "*, a .** ("Lessor") and Sprint PCS Assets, L.L.C., <br />a Delaware limited liability company ("Lessee"). <br /> <br />WITNESSETH: <br /> <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of that <br />certain real property (the "Property") in the State of California, County of *", City of *.. commonly <br />known as "', a legal description of which is shown in Exhibit A attached hereto and incorporated <br />herein by reference, under the terms and conditions of the unrecorded Land Lease Agreement by and <br />between Lessor and Lessee dated by Lessor , 2004 and incorporated herein by <br />reference (the "Agreement") for an initial term often (10) years, and three (3) subsequent optional <br />extension terms of five (5) years each, pursuant to the terms of the Agreement.
