<br />A-2004-255 <br /> <br />c,:Pt1tS <br />U-~ <br /> <br />THIRD AMENDMENT TO AGREEMENT FOR PROVISION OF SERVICES <br /> <br />THIS THIRD AMENDMENT, made and entered into this 18th day of November, 2004, <br />between the City of Santa Ana, a charter city and municipal corporation duly organized and existing <br />under the Constitution and laws of the State of California ("City"), and Nakoma Group (fonnerly <br />Data Design Corporation) ("Consultant"). <br /> <br />REC!IAL.s. <br /> <br />A. The City and the Consultant entered that certain agreement dated December 18, 200 I, <br />hereinafter referred to as "said Agreement", pursuant to the Request for Proposals (hRFP") for <br />Consultant to provide temporary technical contract service persons and consulting services. . An <br />amendment to that agreement was entered into on December 19, 2002. <br /> <br />B. The parties hereto now desire to amend the Tenn and Compensation sections of said <br />agreement in order to provide continuous uninterrupted services to the City under the Agreement. <br /> <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all of the tenns and conditions of said Agreement as <br />hereby amended, the parties hereto do hereby agree as follows: <br /> <br />I. Section I, the "Tenn and Conditions" of said Agreement as amended is hereby amended to be a <br />period beginning on December 18, 2004, and ending on December 31, 2005. <br /> <br />2. Section 2, the "Compensation" tenn of said Agreement is hereby amended to provide the City will <br />pay to Consultant total compensation under this Agreement which shall not exceed $2,850,000. <br />Said total compensation shall be divided between any and all of the Consultants selected by the <br />City, as detennined at the City's discretion. <br /> <br />3. Except as hereinabove modified, the tenns and conditions of said Agreement and all Exhibits <br />thereto, remain unchanged and in full force and effect. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said <br />Agreement the date and year first above written. <br /> <br />ATTEST <br /> <br />~~,~~ <br /> <br />PATRICIA E.
