Quint, Esq. <br /> <br />THIS DOCUMENT IS EXEMPT FROM RECORDING FEES PURSUANT TO SECTION 27383 OF THE <br />CALIFORNIA GOVERNMENT CODE. <br /> <br />ASSIGNMENT AGREEMENT <br /> <br />THIS ASSIGNMENT AGREEMENT, made and entered into as of , 2005, is by and <br />between the SANTA ANA FINANCING AUTHORITY, a joint exercise of powers authority <br />duly organized and existing under the laws of the State of California, as assignor (the <br />" Authority"), and , as assignee (the" Assignee"); <br /> <br />WITNESSETH: <br /> <br />In the joint and mutual exercise of their powers, in consideration of the mutual <br />covenants herein contained and for other valuable consideration, the parties hereto recite and <br />agree as follows: <br /> <br />Section 1. Recitals. <br /> <br />(a) The City of Santa Ana (the "City"), as lessor, and the Authority, as lessee, have <br />entered into a site lease, dated as of , 2005 (the "Site Lease"), whereby the City has leased <br />to the Authority, and the Authority has agreed to lease from the City, certain property more <br />particularly described in Exhibit A attached hereto (the "Site"), in the manner and on the terms <br />set forth in the Site Lease. <br /> <br />(b) The Authority, as lessor, and the City, as lessee, have entered into a lease agreement, <br />dated as of , 2005 (the "Lease Agreement"), whereby the Authority has agreed to lease to <br />the City, and the City has agreed to lease from the Authority, the Site and certain <br />improvements to be constructed on the Site, more particularly described in Exhibit B attached <br />hereto (the "Improvements" and, with the Site, the Property"), in the manner and on the terms <br />set forth in the Lease Agreement, which terms include, without limitation, the obligation of the <br />City to pay Lease Payments (as defined in the Lease Agreement) to the Authority in <br />consideration of the City's use and enjoyment of the Property. <br /> <br />19014.06 <br /> <br />JT25S-66 <br /> <br />
