ASSIGNMENT AGREEMENT THIS ASSIGNMENT AGREEMENT, made and entered into as of , 2005, is by and between the SANTA ANA FINANCING AUTHORITY, a joint exercise of powers authority duly organized and existing under the laws of the State of California, as assignor (the " Authority"), and , as assignee (the" Assignee"); WITNESSETH: In the joint and mutual exercise of their powers, in consideration of the mutual covenants herein contained and for other valuable consideration, the parties hereto recite and agree as follows: Section 1. Recitals. (a) The City of Santa Ana (the "City"), as lessor, and the Authority, as lessee, have entered into a site lease, dated as of , 2005 (the "Site Lease"), whereby the City has leased to the Authority, and the Authority has agreed to lease from the City, certain property more particularly described in Exhibit A attached hereto (the "Site"), in the manner and on the terms set forth in the Site Lease. (b) The Authority, as lessor, and the City, as lessee, have entered into a lease agreement, dated as of , 2005 (the "Lease Agreement"), whereby the Authority has agreed to lease to the City, and the City has agreed to lease from the Authority, the Site and certain improvements to be constructed on the Site, more particularly described in Exhibit B attached hereto (the "Improvements" and, with the Site, the Property"), in the manner and on the terms set forth in the Lease Agreement, which terms include, without limitation, the obligation of the City to pay Lease Payments (as defined in the Lease Agreement) to the Authority in consideration of the City's use and enjoyment of the Property. 19014.06 JT25S-66
