GtuzZ' <br />I �n� THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into <br />this _L__ day of .4JSd 5r , 2004, by and between Johnson Controls, Inc. <br />( "Consultant') and the City of Santa Ana, ( "City "). <br />Recitals: <br />A. The parties entered into Agreement #A -2003 -122, dated August 1, 2003, (hereinafter <br />"said Agreement") by which Consultant has provided preventative maintenance and <br />service for the Metasys Facility Management System at the Santa Ana Police <br />Administration and Housing Facility. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one -year period and to increase compensation <br />to pay for services during the extended term. <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be amended to increase total compensation by <br />$23,700, to read as follows: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A. The total sum to be expended under <br />this Agreement shall not exceed $23,700, annually, during the term of this <br />Agreement." <br />2. Section 3, TERM, shall be extended from July 31, 2004 through July 31, 2005. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />// <br />// <br />// <br />
