1.2 Escrow Deposit Updates: Licensor agrees to deliver updates to the Escrow Deposit as follows: Standard period every six months \a..,. Upon receipt of updated Escrow Deposits by SourceHarbor, said updates will be promptly added to the initial Escrow Deposit. SourceHarbor will handle the administration and labeling of additional updates of the Escrow Deposit and will document them appropriately. 1.3 Escrow Deposit Inspection: Immediately following the arrival of the Escrow Deposit at SourceHarbor, SourceHarbor will undertake an inventory review of the Escrow Deposit. This inventory review includes verifying the completeness of the Escrow Deposit by means of comparison with the list of the materials detailed in the Licensor completed portion of Attachment B ("Escrow Deposit Inventory List"), the Escrow Deposit contents, and any packing list which may have been included in the Escrow Deposit. SourceHarbor will then note any discrepancies of the Escrow Deposit in Attachment B and sign off on Attachment B fmwarding it with the escrow deposit notification to the Parties, Should SourceHarbor determine that the Escrow Deposit does not conform to the Escrow Deposit Inventory List, SourceHarbor will a) request Licensor to complete the Escrow Deposit without delay and b) inform Licensee accordingly, Licensor is then obligated to complete the Escrow Deposit within fifteen (15) calendar days after such notification. 1.4 Initial Technical Verification on Escrow Deposit: SourceHarbor will run a tile listing and virus check of the Escrow Deposit and include the results in the Escrow Deposit Notification sent to both parties. In the event SourceHarbor has difficulty perfornring the file listing and virus check due to the medium upon which the Escrow Deposit is submitted by Licensor. SourceHarbor has the right to request the Escrow Deposit on more widely used media such as CD or DVD. Additional technical verification is initially not encompassed by this Agreement absent an express agreement on technical verification as stated in Section 1.5 of this Agreement. \.. 1.5 Technical Verification Rights: Licensee may at any time during the term of the Agreement request additional technical verification of the Escrow Deposit and will bear all costs involved. Should at any time the Licensee request additional technical verification services. SourceHarbor or a third party so instructed will ex.ecute such technical verification within a reasonable, muroally agreeable period of time. SourceHarbor will provide the following additional services of technical verification: o File listing and virus check (included) o Environment Analysis at Developer's Site o Compilation o Installalion o Comparison If no selection is made, only the file listing and virus check will be conducted. 1.6 Escrow Deposit Notification: After SourceHarbor has completed the inspection process and has completed the technical verification to the extent applicable. SourceHarbor will place the Escrow Deposit in storage. Upon completion of the Escrow Deposit inspection, SourceHarbor will notify the Parties. Section 2: Escrow Account Notifications 2.1 Status Statements: SourceHarbor will provide the Parties a semi-annual "Status Statement" profiling the history of the account. Account Notifications: Unless otherwise stated in this Agreement, all notifications under this Agreement will be delivered by First Class mail. All notitications, invoices, etc. will be delivered to the contact person of the respecti ve Party at the addresses stated in Attachment C ("Data Sheet for Licensor and Licensee") of this Agreement.
