<br />/- -" <br /> <br />-, "7 ;/., <br /> <br />',i~iC~ON~IIENDMENT TO ANNUAL SERVIC<<'GREEMENT <br />Il~ PROGRAM LICENSE AND SERVICE AGREEMENT # 980603 <br /> <br />,. <br /> <br />h - "1 -J i <br /> <br />THIS SECOND AMENDMENT, hereinafter referred to as "Annual Service Amendment #2", made and <br />entered into this 3rd day of May, 200 I, by and between the High Line Corporation and the City of Santa Ana, a charter <br />city and municipal corporation of the State of California (City), collectively referred to herein as "the Parties". <br /> <br />I; <br /> <br />RECIIALS <br /> <br />A. The Parties entered into that certain agreement entitled "Annual Service Agreement Per Program License And <br />Service Agreement #98063" with effective date for third party software as June 25, 1998, hereinafter referred to as <br />"Annual Service Agreementl1, for the provision of annual service for various computer software. The parties <br />subsequently executed an amendment dated April 3, 2000, hereinafter referred to as "Annual Service Amendment <br />#1"; <br /> <br />B. The Parties hereto now desire to amend said Annual Service Agreement and hereby agree to the changes specified <br />hereinafter. <br /> <br />WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, <br />and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree <br />as follows: <br /> <br />1. Amend the EFFECTIVE DATE section on the I" page of the Annual Service Agreement as follows: <br /> <br />"EFFECTIVE DATE FOR OPTIONAL SOFTWARE MODULES: 90 days after the implementation of the <br />optional software module(s) in a live, production, environment, prorated to City's current support period." <br /> <br />2.
