Please accept this as our Notice of <br />Assumption as follows: <br /> <br />I. The City awarded a Consultant Agreement A-2004-269 (hereinafter referred to as <br />"Contract") to Kent Jorgensen, and all documents were signed by Kent Jorgensen; and <br />2. Kent Jorgensen, has agreed to release all rights in and to assign the Contract referenced in <br />this agreement, as of September 1, 2006, to: California Property Specialists, Inc; and <br />3. California Property Specialists, Inc., a corporation under the laws and regulations of the <br />State of California, with Georgia Marquis as the Vice President, W. Kent Jorgensen as the <br />corporation's Chief Executive Officer, and Brett A. Paulson as Chief Financial Officer. <br />Service of Process will be to: California Property Specialists, Inc. 600 W. Santa Ana Blvd, <br />Suite 115, Santa Ana, CA 92701; and <br />4. California Property Specialists, Inc. hereby agree to honor the terms of the "Consultant <br />Agreement A-2004-269" dated December 20, 2004,and "First Amendment To Consultant <br />Agreement dated January 7, 2007, and <br />5. California Property Specialists, Inc., hereby accepts and assumes the rights, liabilities and <br />obligations of Kent Jorgensen under said Contract, effective date September 1,2006, and <br />6.
