Goo et,)t/t.l\ <br /> <br />THIS AGREEl'v1.ENT, made and entered into this 6th day of February, 2006 by and between <br />FAAC Incorporated ("FAAC") and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />(hereinafter "City"). FAAC and Customer may be referred to individually as a "Party" and <br />collectively as the "Parties." <br /> <br />RECITALS <br /> <br />A. FAAC assernbles and markets for sale computer hardware equipment for Driver <br />Training Simulator systems, and licenses for use in connection therewith systems <br />software and application software either owned by F AAC or licensed to FAAC by third <br />parties. <br /> <br />B. FAAC is willing to lease to City and City is willing to accept from FAAC such <br />hardware and software upon payment to F AAC of the amounts set forth below. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. SCOPE OF WORK <br /> <br />1.1. FAAC will design, build, install and maintain and support the following <br />equipment: <br /> <br />. One UpgradedVIP-5 Simulator with Instructor Station <br />. One Upgraded VIP-5 Simulator <br />. One Upgraded Scenario Toolbox <br />. One Juice Goose <br />The above equipment shall be hereinafter collectively referred to as "said Equipment" <br />and in effect replace existing equipment by trade-in. <br /> <br />FAAC will provide a one-year extended warranty on the equipment. City may purchase <br />the extended warranty package for four additional one-year terms. Said Basic Extended <br />Warranty provides: <br />. Unlimitetl telephone support <br />. Parts repair or replacement <br />. All costs associated with up to two service visits per year <br />. Additional on-site labor at published rates <br />.
