A-2003-226 THIRD AMENDMENT TO CONSULTANT AGREEMENT c.;: tt:> j\ Ll~tltrk-v\ THIS THIRD AMENDMENT TO CONSULTANT AGREEMENT (A-2003-226) is entered into on }''1=1' J;:;f/'IPifF\ ~, 2003, by and between Securitas Security Services USA, Inc., a Delaware corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The City entered into Agreement, SPEC # 2001-057, dated October I, 2001, with Burns International Security Services (hereinafter "Burns") by which Burns has provided security guard services at the Santa Ana Transportation Depot, Zoo and Corporate Yard (hereinafter "said Agreement"). B. On August 19,2003, Burns transferred substantially all of its assets to Consultant and Consultant assumed the rights, liabilities and obligations of said Agreement. C. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period and to increase the compensation to provide services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement and all Amendments thereof, except those amended in this Third Amendment to Consultant Agreement, the parties agree as follows: I. Section 2, COMPENSATION, shall be amended to increase compensation by $287,600.00 to provide services during the period from January 1,2004 through December 31, 2004. 2. Section 3, TERM, shall be amended to extend the term for an additional one year period, through December 31, 2004. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II II
