<br />. <br /> <br />,.,""', <br /> <br />(-1-07 <br /> <br />~ ;...1."' <br /> <br />(; IJ/e- <br />((Jujlp~-l <br /> <br />, <br /> <br />.l- ilt -LV, <br /> <br />A-2005-300 <br /> <br />SIXTH AMENDMENT TO AGREEMENT <br /> <br />THIS SIXTH AMENDMENT TO AGREEMENT (A-2003-226) is entered into <br />on December 19,2005, by and between Securitas Security Services USA, Inc., a <br />Delaware corporation ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ("City"). <br /> <br />RECITALS: <br /> <br />A. The City entered into, Agreement # 2001-057, dated October 1,2001, with <br />Consultant by which Consultant has provided security guard services at the Santa Ana <br />Transportation Depot, Santa Ana Zoo at Prentice Park, City Hall and Corporate Yard <br />(hereinafter "said Agreement"). <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional twelve-month period and to increase the <br />compensation to provide services during the extended term. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement and all Amendments thereof, <br />except those amended in this Amendment to Consultant Agreement, the parties agree as <br />follows: <br /> <br />I. Section 2, COMPENSATION, shall be amended to increase compensation by <br />$313,040.00. Said section shall read, in full, as follows: <br /> <br />"City agrees to pay and Consultant agrees to accept, as total payment for its services, <br />the rates and charges set forth in Exhibit A to said Agreement. The total amount to be <br />expended to provide security services for the Depot at Santa Ana, Corporate Yard, Santa <br />Ana Zoo at Prentice Park and to provide security services during Homeland Security <br />Alerts and a continuous tire watch at City Hall, shall not exceed $313,040.00, during the <br />term from December 1,2005 through November 30, 2006." <br /> <br />2. Section 3, TERM, shall be amended to extend the term for an additional twelve- <br />month period, through November 30, 2006. <br /> <br />3.
