INSURANCE NOT ON FILE <br />N-2002-165 <br />WORK MAY N01 PROCEED I <br />a <br />CLERK OF COUNCIL <br />DATE 11-1-0 � STANDARD CONSULTANT AGREEMENT C 03 <br />C PU)A THIS t�CREEIv�F�NT�py�dse a�� erg ered into this day of 2002 by <br />aws u Fks- <br />and between�Lmscott Law & reertslpan, a alifomia corporation (hereinafter `'Consultant"), and 1 -0 <br />FIN the City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />traffic and circulation studies. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall revise the traffic and circulation study for the Fairview Widening Project <br />to reflect Year 2002 and Year 196 conditions as further detailed in Exhibit A to this Agreement. wLtd <br />2. COMPENSATION 7.' <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A. The total sum to be expended under this <br />Agreement shall not exceed $8250.00 (hereinafter "Contract Amount") plus a 10% contingency <br />during the term of this Agreement. <br />b. Payment to Consultant shall be as follows: <br />(1) Fifty percent (50%) of the Contract Amount due upon completion of fifty <br />percent (50%) of the scope of work as identified in Exhibit A; <br />(2) Additional forty percent (40%) of the Contract Amount due upon release of <br />the final draft of the traffic and circulation study for the Fairview Widening <br />Project to the City; and <br />(3) Last ten percent (10%) of the Contract Amount upon completion of the entire <br />scope of work. <br />
