("Contractor") and the City of Santa Ana, <br />a charter city and municipal corporation of the State of California ("City"). <br /> <br />RECITALS <br /> <br />A. The parties entered into Purchase and Software License Agreement #A2001-230, <br />dated September 4, 200 I, (hereinafter "said Agreement") for the purchase of <br />computer equipment and related peripherals and supplies, Professional consulting, <br />programming, installation, support and training services, as well as the licensing of <br />computer software and related documentation by Contractor for the City. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement and increase the compensation to provide software <br />and hardware maintenance during the extended term. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Fifth Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />I. The parties agree that the termination date of said Agreement shall be extended to <br />March 31,2007. <br />2. The amount of compensation to Contractor is hereby amended to increase <br />compensation $23,000.00, to pay for software and hardware support services from <br />April I ,2006 through March 31,2007. <br />3.
