Gon,,.') <br /> <br />SECOND AMENDMENT TO AGREEMENI <br /> <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on June 1. <br />2006, by and between National Econ Curporation ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation of the State of California ("City"), <br /> <br />RECITALS: <br /> <br />A, The pm1ies entered into Agreement N-2004-079, dated June 30, 2004, (hereinafter <br />""said Agreem~nf') by which Consultant has provided environmental testing s~rvices <br />for the City. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties \vish to <br />amend the Scope of Services, increase compensation and extend the term of said <br />Agreement. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />suhject to all the terms and conditions of said Agreement, except those amended in this <br />Amendment to Consultant Agreement, the parties agree as follo\vs: <br /> <br />1, Section 1, SCOPE OF SeRVICES, shall be deleted and replaced with the following: <br /> <br />.'Consultant shall perform those services as set forth in Exhibit A to said Agreement. <br />The parties anticipate that Consultant will perform additional services during the term <br />of this Agreement. In such case, Consultant shall provide a proposal with the <br />understanding Lhat no work \vi11 commence unless and until City accepts said <br />proposal in a writing signed by the Executive Director of the finance Agency." <br /> <br />2, Section, 2,a" COMPENSA TION, shall be deleted and replaced with the following: <br /> <br />"G. City agrees to pay, and Consultant agrees to accept as total payment for its <br />serviCl:s, the rates and charges identified in each Proposal suhmitted by Consultant <br />and accepted in \vriting by City. The total sum to be expended under this Agreement <br />shall not exceed $9,000,00 from July 1,2006 thruugh June 30, 20D7," <br /> <br />3, Section 3. TERM, shall be amended to extend the term through June 30, 2007. <br /> <br />4. Except as herein modified, all terms and conditions of said Agreemenl shall remain in <br />full force and etTect. <br />
