<br />ASSOCIATES, LLC, do hereby grant to the City of Santa Ana, a charter city and municipal corporation
<br />duly organized and existing under the Constitution and laws of thc State of California, its officers,
<br />agcnts, employees or rcprcscntativcs (collectively referred to as the "City"), the right to enter the
<br />property located at 9 E. Hutton Centre Drive, 10 E. Hutton Centre Drive, and 101 E. Sandpointe
<br />Avcnuc in the City of Santa Ana, County of Orange (the "properties"), and hereby grants to the City a
<br />license for the following:

<br />LICENSE AND RIGHT OF ENTRY

<br />Inspect the construction of public improvements within the private properties prior to public dedication
<br />at a maximum distancc of 10 feet from the public streets per the approved street improvement plans for
<br />Dcvclopmcnt Project Nos. 03-078, 03-079, and 03-080. See "Exhibit I", attached hereto and
<br />incorporated herein by reference, for Street Work Permit No. SOl 01236 application per the Santa Ana
<br />Puhlic Information Network (SAPIN), See "Exhibit II" , also attached hereto and incorporated herein by
<br />reference, for general location of the improvements on the properties (Parcels 1,2,3,5,7, and 8 of
<br />Parcel Map 89-439, recorded in Parcel Map Book 262, Pages 7 through 10 inclusive, of Official
<br />Records of Orange County, California).
<br />
<br />The City agrees to indemnify and hold harmless NDC SKYLINE ASSOCIATES, LLC from any
<br />liability arising out of the City's exercise of this License and Right-of-Entry,
<br />
<br />The rights herein granted to the City, are exclusive, and the City agrees not to assign, transfer, lease,
<br />pledge, or otherwise dispose of its License and Right of Entry without the prior expressed written
<br />approval oOhe undersigned, No right of entry to existing buildings is conveyed by this instrument. The
<br />rights for the purpose of inspection shall include, but not be limited to, soil sampling, soil composition
<br />testing, and material testing,
<br />
<br />This License and Right of Entry shall expire upon City's final acceptance of said construction work,
<br />and in any event, no later than July 31, 2007, unless extended by written agreement between the
<br />undersigned and the City.
