<br />"1NTERGRAPH <br /> <br />MEMORANDUM OF UNDERSTANDING <br /> <br />Intergraph Corporation, herein referred to as "Intergraph" entered into an agreement in <br />February 5, 2007 with the City of Santa Ana, herein referred to as the "City", for the <br />Development and Implementation of Oracle GeoSpatial Street Centerline Data Model <br />with Dynamic Segmentation (LRS), The City of Santa Ana has requested access to the <br />source code for this application, Intergraph will agree to provide the source code under <br />the following terms: <br /> <br />1) Intergraph will retain the intellectual property rights to the GMPave software license, <br />2) The City will be allowed to archive the GMPave source code for safe keeping. <br /> <br />3) The City will be allowed to modifY the GMPave source code. <br /> <br />4) The City will be prohibited from distributing or sharing the GMPave application <br />source code provided by Intergraph with any third party, except for its Consultant, <br />Redlands Software. <br /> <br />5) Redlands Software agrees that it will not share or distribute the application source <br />code provided to the City by Intergraph to any third party, and such source code will only <br />be used to provide services to the City. <br /> <br />6) Intergraph will not provide the source code for its COTS software (GeoMedia <br />Professional, etc.) products. <br /> <br />7) Intergraph will provide the GMPave application source code to the City upon <br />completion of the project. <br /> <br />8) In the event of a default of any of the above terms, and such default is not cured within <br />ten business (10) days after written notice from Intergraph, the City and Redlands hereby <br />agree to return all of the copies of the source code in their possession to Intergraph. <br /> <br />1 of 1 <br /> <br />3/10/2008 <br />
