Gresham <br />DATE 5/3/79 PHONE 4145 <br />LICENSE AGREEMENT BETWEEN THE <br />SUBJECT E <br />e <br />AND POP WARNER FOOTBALL FOR <br />CONCESSION STAND CONSTRUC- <br />TION AT MEMORIAL PARK. <br />APPROVE(D�� <br />.B MFNTHEHD CHV r NACEF <br />BECOMMENDED ACT I <br />DATE OF COUNCIL ACTION , - ` - � e <br />h. <br />Actt 7 CI FRKOi THE COUNCIL <br />Approve License Agreement between the City, Southwest Santa Ana Little League, <br />Inc., and Pop Warner Football, Inc., to construct a concession stand at Mem- <br />orial Park. <br />BACKGROUND <br />Last year, respresentatives from Southwest Little League Baseball contacted us <br />about the possibility of entering into a joint venture for the construction of <br />a concession stand facility at Memorial Park, similar to the joint venture of <br />several years ago where a concession stand was constructed at Alona Park. <br />Staff felt this to be a good proposal, and included a request for $20,000 in <br />A & D (Acquisition and Development) Funds for Fiscal Year 78/79. Negotiations <br />began with Little League with the idea of utilizing the City funds to construct <br />the exterior or building shell, and people from the Little League providing <br />labor and money to finish the interior work and provide all necessary con- <br />cession equipment. <br />Pop Warner Football, which also uses Memorial Park as a playing site, heard <br />about the concession stand project and requested to be included in the joint <br />construction project. Little League and City staff agreed that it would be <br />appropriate to negotiate a three party agreement for this common -use facility <br />During new negotiations, it was determined that the City's $20,000 could be <br />"stretched" or "leveraged" better with private funds or donations to increase <br />it's purchasing power. Toward this end, a restroom can now be added to the <br />concession stand package to be included in the construction. Therefore, in- <br />stead of the City building the shell, as originally discussed, the City funds <br />will instead be provided to the Licensees for them to construct the entire <br />facility. <br />After construction, Pop Warner and Little League will completely maintain this <br />facility. The concession stand shall remain as personal property and shall not <br />be deemed as a fixture. Title remains with the Licensee during the term of <br />the Agreement. The initial term of the Agreement is three years, with three <br />year option terms available, as the City consents. If the Licensees decide to <br />discontinue the use of licensed premises, title to the concession stand vests <br />in the City.
