J'r A-2007-126 INSURANCE ON FILE WORK MAY PROCEED UNl1L INSURANCE EXPIRES (-/- 08 CLERK OF COUNCIL ",,01tl OATES t p 0 (. ,U AGREEMENT FOR PROVISION OF ELECTRICAL CONTRACTING SERVICES THIS AGREEMENT, made and entered into this 21st day of May, 2007 by and between Ham's Electric, Inc., a California corporation (hereinafter "Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws ofthe State of California (hereinafter "City"). RECIT ALS A. The City operates data centers and a telephone center, to support key business operations in every City Agency and Department. Those key business operations include electronic mail, h1temet access and secure data storage, as well as computer applications such as payroll and SAPIN. B. Due to the critical nature ofthose services and applications to the daily operation of the City, the City desires to retain the services of a California licensed electrical contracting firm with specialized skills and experience supporting the unique electrical infrastructure of data and telephone centers. C. Contractor represents that Contractor is able and willing to provide such services to the City. D. h1 undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a California licensed electrical contractor in this specialized field. NOW THEREF'ORE, in consideration of the mutual and respective promises, and subject to the temlS and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES a. Contractor shall perform those selvices and provide related products as set forth in City's Request For Proposal- Electrical Contracting Services for Data & Telephone Centers, dated January 12, 2007 (hereinafter "RFP"), attached as Exhibit A and incorporated by reference, and Contractors Proposal, attached as Exhibit B and incorporated by reference. b. Documents To Be Construed Together. This Agreemem and all documents referred to herein, shall be construed together as one document. h1 the event of a conflict among the documents, the provisions of this Agreement shall take precedence, followed by the Contractor's Proposal and then the RFP.
