("Licensor") and the City of Santa <br />Ana, a charter city and municipal corporation of the State of California ("City'). <br />RECITALS: <br />A. The parties entered into Agreement #A-2007-058, dated March 19, 2007, (hereinafrer <br />"said Agreement") by which Licensor has provided Fleet Management software, with <br />training and support services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the Scope of Services to include additional vehicles in the system. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be amended to provide that an additional <br />200 units will be installed with tricoders for a price of $4,000. The total number of <br />units licensed for the Fleet Management system is 1075. <br />2.
