r ~ i <br />~/- ~/ 5 ' Q 2-6~ <br />~ qq8~~i .. .,.. y <br />LICENSE AGREEMENT t~yE:r~b '~~' v<~~#~#~ <br />F;. s~a y195 CC-. ~.I~~~ <br />THIS AGREEMENT, made on May <br />OF SANTA, a municipal corporation <br />("Licensee") <br />5, 1995, by and between the CITY <br />("City") and Latino Health Access <br />Recitals: <br />A. The City is the owner of the vacant lot located at 1248 West <br />1st Street in the City of Santa Ana (the "Property"). <br />B. Licensee desires to develop a Community Garden Project with <br />Low-income Latinos affected with Diabetes and Heart Conditions and <br />their family on the Property. <br />WHEREFORE, in consideration of their mutual and respective <br />promises and subject to terms and conditions hereof, the parties <br />hereto do hereby agree as follows: <br />1. The City hereby grants to Licensee a license to utilize the <br />lot to develop a Community Garden Project, for the period beginning <br />May 5, 1995, and continuing on a month to month basis. The City <br />Manager of the City may revoke this license if Licensee (i) makes <br />any unauthorized use of the License Area, or (ii) fails to comply <br />with the requirements of Section 3 of the Agreement. <br />2. Licensee agrees to indemnify and hold harmless the City of <br />Santa Ana and it's officers and employees from and against any and <br />all loss or damage, and from any and all suits, action and claims <br />filed or brought by any person or persons, arising out of the <br />negligent acts or omissions of the Licensee in the exercise by <br />Licensee of the license granted by this Agreement. <br />3. With respect to the exercise by Licensee of the license <br />granted by the Agreement, and throughout the term of this license, <br />Licensee shall maintain general liability insurance, or equivalent <br />form, with a combined single limit of not less than $300,000 per <br />occurrence. Such insurance shall name the City of Santa Ana and <br />its officers and employees as additional insured. <br />Licensee shall (a) furnish a properly executed certificate of <br />insurance to the City prior to initiating use of the license <br />granted to Licenses by this Agreement, which certificate shall <br />clearly evidence the coverage required above and provide that such <br />insurance shall not be materially changed or terminated except on <br />30 days prior written notice to the City; and (b) maintain such <br />insurance from the use of the said license by Licensee commences <br />until termination of that license; and (c) replace such certificate <br />for policies prior to the termination of that license. <br />
