RECIPIENT. SUB-RECIPIENT shall require that the language of this <br />Certification be included in the award documents for all sub-awards <br />at all tiers and that all subcontractors shall certify and disclose <br />accordingly. <br />4. Records Inspection <br />At any time during normal business hours and as often as the CITY, <br />the U.S. Comptroller General and/or the Auditor General of the State <br />of California may deem necessary, SUB-RECIPIENT shall make <br />available for examination all of its records with respect to all matters <br />covered by this Agreement. The CITY, the U.S. Comptroller General <br />and/or the Auditor General of the State of California shall have the <br />authority to audit, examine and make excerpts or transcripts from <br />records, including SUB-RECIPIENT'S invoices, materials, payrolls, <br />records of personnel, conditions of employment and other data <br />relating to all matters covered by this Agreement. <br />SUB-RECIPIENT agrees to provide any reports requested by the <br />CITY regarding performance of the Agreement. <br />5. Records Maintenance <br />Records, in their original form, shall be maintained in accordance with <br />requirements prescribed by the CITY with respect to all matters <br />covered on file for all documents specified in this Agreement. <br />Original forms are to be maintained on file for all documents specified <br />in this Agreement. Such records shall be retained for a period of <br />three (3) years after termination of this Agreement and after final <br />disposition of all pending matters. "Pending matters" include, but are <br />not limited to, an audit, litigation or other actions involving records. <br />The CITY may, at its discretion, take possession of, retain and audit <br />said records. Records, in their original form pertaining to matters <br />covered by this Agreement, shall at all times be retained within the <br />County of Orange unless authorization to remove them is granted in <br />writing by the CITY. <br />6. Subcontracts and Procurement <br />SUB-RECIPIENT shall comply with the federal and SUB- <br />RECIPIENT standards in the award of any subcontracts. For <br />purposes of this Agreement, subcontracts shall include but not <br />be limited to purchase agreements, rental or lease agreements, <br />third party agreements, consultant service contracts and <br />construction subcontracts. <br />SUB-RECIPIENT shall ensure that the terms of this Agreement with <br />the CITY are incorporated into all Subcontractor Agreements. The <br />SUB-RECIPIENT shall, upon CITY's request, submit Subcontractor <br />Agreements to the CITY for review prior to the release of any funds <br />14 <br />
