~rre~~ A-2005-166-02 <br />INSURANCE NOT ON FILE <br />WORK MAY ~9I PROCEED <br />CLERK OF COUNCIL <br />HATE: ~jtuuln~ <br />G, S.kPD ~t:~xa~' ~0r' <br />C2~ _ µ~}i,gr pe~der SECOND AMENDMENT TO <br />DIGITAL IMAGING MANAGEMENT SYSTEM <br />MAINTENANCE AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on March 6, <br />2008, by and between Linear Systems ("Consultant") and the City of Santa Ana, a charter <br />city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2005-166, dated July 21, 2005, (hereinafter <br />"said Agreement") by which Consultant has provided digital imaging software and <br />maintenance for use by the City's Police Department Forensic Division. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of the software support and maintenance provisions and increase <br />compensation to pay for those services during the extended term. <br />C. The parties have determined and agree that the one-year maintenance period which <br />was included in the original purchase agreement, expired October 31, 2006. Each <br />successive annual maintenance period runs from November 1 through October 31. <br />WHEREFORE, inconsideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />1. Section 3.a, COMPENSATION, shall be amended to increase compensation by <br />$25,000.00 to pay for an additional one year term for on-site warranty, maintenance and <br />support for hardware and software installed and maintained pursuant to said Agreement, <br />including but not limited to, Download Stations, ImageServer, Database Case <br />Management Rack Server, Linear PDD Library, Forensic Services Lab Kit XL-2, Digital <br />Output Devices, Forensic Services Field Personnel Kits and Forensic Services Lab Kit <br />20D. <br />2. Section 4, TERM, shall be amended to extend the warranties, maintenance and <br />support for an additional period through October 31, 2008. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full farce and effect. <br />// <br />// <br />
