A-2001-242 <br />AGREEMENT BETWEEN THE CITY OF SANTA ANA <br />AND THE FRIENDS OF SANTA ANA ZOO <br />FOR THE BENEFIT AND SUPPORT OF <br />THE SANTA ANA ZOO IN 'P~RENTICE PARK <br />l <br />THIS AGREEMENT, made and entered into this day of C~'~~ 2001, by and <br />between the City of Santa Ana, a charter city and municipal corporation duly organized <br />and existing under the Constitution and law of the State of California, (the, "CITY"), and <br />Friends of Santa Aaa°~, a California nonprofit public benefit corporation, organized <br />for the purpose of supporting the operation, maintenance and expansion of the ZOO <br />through charitable fund-raising ("FOSAZ"). <br />i Z- i r~ -,c7 <br />~ tti-.} r <br />Recitals: <br />A, Whereas, CITY owns and operates for the public benefit the Santa Ana Zoo in <br />Prentice Park, hereinafter referred to as "ZOO", which is under the management and <br />control of the Parks, Recreation and Community Services Agency, hereinafter referred to <br />as the "AGENCY", which is a depamnent of the CITY. <br />B. Whereas for nearly twenty years the CITY and FOSAZ have cooperated to <br />develop the Santa Ana. Zoo in Prentice Park for the benefit of the visitors served, to <br />responsibly care for the animals entrusted to our care, to promote conservation action, <br />and to instill a passion for the natural world through conservation, education, and <br />recreation. <br />C. Whereas FOSAZ was first incorporated in 1975 as Friends of the Childress' Zoo <br />for the purpose of supporting and funding a childrens' petting zoo at the ZOO, and in <br />1982 entered into its first agreement with the CITY for installation of animal food <br />dispensers at the childrens' zoo. <br />D. Whereas over the years the roles and activities of FOSAZ have grown and <br />expanded to include such things as fundraising for construction of animal habitats such as <br />Amazon's Edge and The Treetop Exhibit, coordination of volunteer and docent services, <br />installation and operation of the Zoofari Train attraction and construction of the Train <br />Depot, management of the ZOO web page, and many other significant programs. <br />E. Whereas, for the primary purpose of providing a high quality zoo for its visitors, it <br />is deemed desirable to clarify relationship that now exists between the CITY and FOSAZ, <br />and to specify and describe in a new Agreement the nature of the on-going <br />responsibilities, roles, aims, and goals of the parties to this Agreement. <br />F. Whereas, CITY and FOSAZ desire to recognize FOSAZ's important role to <br />contribute to the development, beautification, and improving the ZOO, through fund <br />raising, marketing, education, special events, or similar activities focusing on obtaining <br />and growing financial support for the CITY'S operations and capital improvements at the <br />
