• • <br />the Zoo Director. Such activities shall include, but not be limited to: marketing, <br />advertisement and promotional materials; Public Service Announcement materials, <br />including videos; and production and management of the zoo's web page. <br />F. Use and Distribution of Fundraising Proceeds and Membership Fees <br />All funds received by the FOSAZ, including the net proceeds of all FOSAZ fundraising <br />activities, shall be used exclusively for and expended for the benefit of the ZOO in <br />accordance with the plans approved by the CITY and FOSAZ. FOSAZ shall disclose in <br />all solicitations and membership requests that it is raising funds for the ZOO, and that a <br />portion of the funds will be used for FOSAZ administrative costs. <br />Quarterly, FOSAZ will remit ten percent (10%) of the gross proceeds of all membership <br />sales to CITY. These funds will be deposited by CITY into a separate account that will be <br />used exclusively by the CITY for ZOO deferred maintenance projects and/or purchase of <br />animals, as determined by the Zoo Director. The CITY will provide to FOSAZ on a <br />quarterly basis an accounting of how those funds were expended. <br />3. FOSAZ CONCESSIONS <br />As part of its fundraising activities, FOSAZ shall have the non-exclusive right under <br />separate agreements to be approved by the City Council, to operate concessions from <br />time to time on the zoo grounds. All net operating proceeds from the concessions shall <br />be used for ZOO purposes as approved by the ZOO Director, or as specified herein. All <br />concession proceeds, including operating costs, shall be separately accounted for. <br />A. Gift Shoe: <br />FOSAZ may operate a gift shop at the zoo to sell appropriately related gift, souvenir, and <br />novelty items. FOSAZ shall be responsible for all expenses related to purchase and sale <br />of items in the gift shop. CITY shall provide space in the concessions building for the gift <br />shop and be responsible for maintenance and repair of the building structure and utilities. <br />FOSAZ shall be responsible for store furnishings and interior improvements and <br />renovations. <br />B. Train Ride: <br />FOSAZ may operate the Zosafari train ride concession at its own expense. Net operating <br />proceeds shall be used for educational purposes within the scope of the Zoo. <br />C. Animal Food: <br />FOSAZ shall have the right to sell animal food approved by the Zoo Veterinarian and <br />Animal Curator in locations approved by the Zoo Director. CITY shall provide approved <br />animal food. FOSAZ will pay for approved animal food dispensers. <br />D. Other Concessions: <br />The CITY and FOSAZ may from time to time agree to other FOSAZ concessions. <br />Nothing herein shall prohibit the CITY from granting concessions to persons other than <br />FOSAZ. <br />4 <br />
