1Nc ,',, z, _ ' ~~ <br />;_,,, ~ , <br />U _ <br />~-~~; ~ ~ ~~, _,,, AGREEMENT BETWEEN CITY OF SANTA ANA ~,~~~ ~~~" "~ '' ~ ¢ ~~ <br />~4 ::: g -~• ~ U~ AND THE FRIENDS OF THE SANTA ANA ZOO r' ' - -• <br />FOR THE DEVELOPMENT OF THE CHILDREN'S ZOO PROJECT ~~•~ ~'~' - ~ `-'=~ ~- <br />,.,,,.x ~ - ~ -~ov~ <br />.`~~" <br />~ -~t~5 <br />This Agreement, made and entered into this ~ day of 2000, by ~ <br />and between the City of Santa Ana, a charter city and municipal Corp ration duly organized <br />and existing under the Constitution and laws of the state of California, hereinafter referred <br />to as "CITY", and the Friends of the Santa Ana Zoo, a California nonprofit corporation, <br />hereinafter referred to as "FRIENDS". <br />Now, therefore, in consideration of the mutual agreements herein contained, the parties <br />hereto agree as follows: <br />WITNESSETH <br />WHEREAS, the FRIENDS, a California non-profit organization, is generating <br />support revenues and donations for the CITY to operate and develop the Santa Ana Zoo; <br />and <br />WHEREAS, CITY and FRIENDS are interested in developing a new Children's <br />Zoo in the Santa Ana Zoo; and <br />WHEREAS, the FRIENDS are interested in executing the contracts to retain <br />consultants and contractors for the project to work under city staff direction; and <br />WHEREAS, FRIENDS wishes to retain the CITY to oversee and manage the design <br />and inspections to ensure that the project complements the master plan and meets all <br />governmental codes and requirements. <br />NOW, THEREFORE, in consideration of mutual promises, covenants and <br />agreements herein set forth, the parties do hereby agree as follows: <br />1. SCOPE OF SERVICES <br />The CITY shall: <br />A. Review plans and specifications for the design, and installation of the Children's <br />Zoo at the location attached hereto as Exhibit A and incorporated herein by reference. <br />The CITY shall reserve the right to require any revisions to said plans and <br />specifications which the CITY determines are necessary. Upon acceptance by the <br />CITY, a specific site plan and specifications for the facility shall be attached hereto as <br />Exhibit B and incorporated herein by reference. The plans and specifications for this <br />facility shall be placed on file in the Office of Recreation and Community Services <br />FriendsZoo.Agr <br />1/28/00 <br />Page 1 of 17 <br />
