Page 28 of 48 <br />Exhibit B: Minnesota Terms and Conditions <br /> Change Requests. <br />The Lead State reserves the right to request, during the term of the Master Agreement, changes to the products offered <br />within the Band(s). Products introduced during the term of the Master Agreement shall go through a formal review <br />process. The process for updating the products offered within a Band is outlined in Paragraph 2 of Exhibit B. The <br />Contractor shall evaluate and recommend products for which agencies have an expressed need. The Lead State shall <br />require the Contractor to provide a summary of its research of those products being recommended for inclusion in the <br />Master Agreement as well as defining how adding the product will enhance the Master Agreement. The Lead State may <br />request that products, other than those recommended, are added to the Master Agreement. <br />In the event that the Lead State desires to add new products and services that are not included in the original Master <br />Agreement, the Lead State requires that independent manufacturers and resellers cooperate with the already <br />established Contractor in order to meet the Lead State’s requirements. Evidence of the need to add products or services <br />should be demonstrated to the Lead State. The Master Agreement shall be modified via supplement or amendment. The <br />Lead State will negotiate the inclusion of the products and services with the Contractor. No products or services will be <br />added to the Master Agreement without the Lead State’s prior approval. <br /> Product and Service Schedule (PSS). <br /> Creating the Product and Service Schedule (PSS). Contractor will use the attached sample PSS to create and <br />maintain a complete listing of all products and services offered under the Master Agreement. The PSS must conform <br />to the contracted minimum discounts. Contractor may create and maintain a separate PSS for a Participating Entity <br />based on the requirements and restrictions of the Participating Entity. <br />Contractors are encouraged to provide remote learning bundles for K-12 Education. These bundles can be included <br />in the response to the PSS. <br /> Maintaining the PSS. <br /> In General. Throughout the term of the Master Agreement, on a quarterly basis, Contractor may update the <br />PSS to make model changes, add new products or services, or remove obsolete or discontinued products or <br />services. Any updates to the PSS must conform to the Master Agreement requirements, including the scope of <br />the Master Agreement and contracted minimum discounts. <br /> Process. Contractor must provide notification to the Lead State of any changes to their PSS using the <br />attached Action Request Form (ARF). <br />a) The Lead State does not need to approve Contractor’s request to make model changes, add their own <br />manufactured products, or remove discontinued or obsolete products or services, and Contractor does not <br />need the Lead State’s approval prior to posting an updated PSS. <br />b) The Lead State must approve Contractor’s request to add new third party manufacturers to Contractor’s <br />PSS. If the proposed third-party manufacturer holds a NASPO Master Agreement for Computer Equipment, <br />Contractor must obtain written authorization from that manufacturer.
