Agreement. Consultant represents and warrants that Consultant has the legal right to license any and all Documents & Data. <br />Consultant makes no such representation and warranty in regard to Documents & Data which were provided to Consultant <br />by the City. City shall not be limited in any way in its use of the Documents and Data at any time, provided that any such <br />use not within the purposes intended by this Agreement shall be at City's sole risk. <br />Notwithstanding this provision, however, City acknowledges and agrees that materials, reports, and other documentation of <br />any kind generated with the ordinafy course and scope of CSC's business operations (including but not limited to event fide <br />documentation, incident reports, personnel files, etc.), and communications and documents are subject to attorney -client <br />privilege and attorney work product privileges and are not subject to disclosure. The QU further acknowledges that <br />documents classified as trade secrets (including but not limited to training materials and operational procedures under <br />the Uniform Trade Secret Act and California Uniform Trade Secret Act are excluded from disclosure under this provision. <br />See explanation directly above. <br />& INSURANCE <br />Additional Insured Status <br />The City, its officers, officials, and employees, and volunteers are to be covered as additional insureds on the CGL policy <br />with respect to liability arising out of work or operations performed by or on behalf of the Contractor including materials, <br />parts or equipment furnished in connection with such work or operations and subject and limited to the indemnification <br />obligations of the Agreement. General liability coverage can be provided in the form of an endorsement to the Contractor's <br />insurance (at least as broad as ISO Form CG 20 10 11 85 or both CG 20 10, CG 20 26, CG 20 33, or CG 20 38; and CG 20 <br />37 forms if later revisions used). <br />Primary Coverage <br />For any claims related to this contract, the Contractor's insurance coverage shall be primary insurance coverage at least <br />as broad as ISO CG 20 0104 13 as respects the City, its officers, officials and employees, . Any insurance or <br />self-insurance maintained by the City, its officers, officials or employees, or volunteem shall be excess of the Contractor's <br />insurance and shall not contribute with it. <br />CSC respectfully requests the foregoing changes. CSC insurer requires that any agreement to list other parties as <br />additional insured on CSC's policies must be subject to the indemnification provisions of that agreement. Further, CSC <br />does not additional insure volunteers. <br />,; ;livi; ; ::. - -;; <br />11 - ..:: ;; ; <br />CSC is not able to waive subrogation as to its worker's compensation policy under the terms of its current policy coverages. <br />Self -Insured Retentions <br />Self -insured retentions must be declared to and approved by the City. The City may require the Contractor to purchase <br />coverage with a lower retention or provide proof of ability to pay losses and related investigations, claim administration, <br />and defense expenses within the retention. The policy language shall provide, or be endorsed to provide, that the self -insured <br />retention may be satisfied by either the named insured or City. <br />CSC insurance policies are structured with self -insured retentions and deductibles: workers comp- deductible $500, 000; <br />general liability- SIR $250, 000; professional- SIR $250K. <br />This item contains and consists of confidential and proprietary information belonging to Contemporary Services Corporation <br />and is not to be reproduced, copied, or used without its express written permission. <br />
