INSURANCE N(} i t3EQU1REr> <br />WORK MA1' ~'RQCEEU <br />~~ CLERK Q~ C~JL'NCIL <br />DATE: t{ , Z-`~-C~1 <br />A-2009-032 <br />REIMBURSEMENT AGREEMENT FOR REPAIR, MAINTENANCE AND <br />IMPROVEMENTS TO THE TWIST BASLER HOUSE <br />This Reimbursement Agreement is made and entered into this ~ ~ day of <br />~„ '~ ~ , 2009, by and between the City of Santa Ana, a charter city and Municipal <br />Co oration organized under the Constitution and laws of the State of California ("City") <br />'~ ~ and Southwest Property Investment, Inc. (hereinafter referred to as "Southwest") located <br />•`.~ ~ ~ ~ at 1103 North Broadway, Santa Ana, California 92701. <br />~y J~ J~ <br />-1 ~/ ~1 Recitals• <br />A. In 2004, the City of Santa Ana entered into a development agreement with One <br />Broadway Plaza, LLC which, among other things, called for relocation of the <br />Historic Twist Basler House formerly located at 1015 North Broadway to its <br />current location at 800 North Cabrillo Park Drive within the Cabrillo Tennis <br />Center. <br />B. The Twist Basler House reconstruction is nearing completion but additional <br />unforeseen repair, maintenance, and improvements are needed in and around the <br />House. <br />C. Southwest is willing to complete the repair, maintenance, and improvements on <br />the exterior and interior of the House under this reimbursement agreement. The <br />reconstruction of the exterior of the house called for in this agreement is not part <br />of the original One Broadway Plaza, LLC Development Agreement. <br />D. Continuing the repair, maintenance, and improvements of the house with <br />Southwest through a reimbursement agreement will save the city time and staff <br />work in preparing plans and specifications. <br />NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS: <br />I. PROJECT FUNDING. SCOPE AND REVIEW <br />1. For and in consideration of the sum not to exceed One Hundred Fifly Three <br />Thousand, Eight-Hundred and Sixty Seven dollars and 40 cents ($153,867.40), and under <br />the conditions expressed herein, Southwest hereby agrees to and shall do all the work <br />necessary to complete in good workmanship and substantial manner the work described <br />in paragraph 2 of this agreement and in compliance with City of Santa Ana standards and <br />regulations. <br />2. Upon approval of this agreement by the City Council, Southwest will prepare <br />plans and specifications required for obtaining permits and will take all necessary actions <br />to complete the following improvements in connection with the restoration of the Twist <br />Basler House: <br />Page 1 of 5 <br />
