iNSURtitic~: o~~ ~ _'- A-2009-093-001 <br />WORK MAY PRA ~~;. <br />UNTlL INuU?~-A',-~~~ ~~,~~ <br />~•-~_ C <br />CLERK OF CG'~w~i~= <br />DATE Sip ~ (~ 2009 CHANGE NOTICE #1 <br />TO PURHASE AND INSTALLATION AGREEMENT <br />THIS CHANGE NOTIE #1 TO AGREEMENT is entered into on September 15, 2009, <br />by and between Sentry Control Systems, a California corporation ("Sentry") and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />S/`~ <br />RECITALS: <br />~~~, A. The parties entered into that certain Ageement A-2009-093, dated June 8, 2009, (hereinafter <br />`~ "said Agreement") by which Sentry is obligated to install parking control systems in various <br />L ~ Santa Ana Civic Center parking structures. <br />d ~; <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to process a <br />Change Notice to provide SmartCard keycards allowing access to the parking structures. <br />~ ~ WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 1, SENTRY OBLIGATIONS, shall be amended to include the provision of keycards <br />as set forth in Change Notice #l, attached hereto as Exhibit A-1, and incorporated by <br />reference. <br />2. Section 2, COMPENSATION, shall be amended to increase compensation by $55,100, to pay <br />for the SkiData Smart Cards provided pursuant to Change Notice #1. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Change Notice #1 to Agreement <br />on the date and year first written above. <br />ATTEST: <br />~ ~~ <br />MARIA D.
