attached hereto as Exhibit B. No funds will be released to the <br />COUNTY OF SANTA BARBARA until the Certification is filed. <br />The COUNTY OF SANTA BARBARA shall file a Disclosure Form at <br />the end of each calendar quarter in which there occurs any event <br />requiring disclosure or which materially affects the accuracy of any of <br />the information contained in any Disclosure Form previously filed by <br />the COUNTY OF SANTA BARBARA. The COUNTY OF SANTA <br />BARBARA shall require that the language of this Certification be <br />included in the award documents for all sub-awards at all tiers and <br />that all subcontractors shall certify and disclose accordingly. <br />4. Records Inspection <br />At any time during normal business hours and as often as the CITY, <br />the U.S. Comptroller General and/or the Auditor General of the State <br />of California may deem necessary, the COUNTY OF SANTA <br />BARBARA shall make available for examination all of its records with <br />respect to all matters covered by this Agreement. The CITY, the <br />U.S. Comptroller General and/or the Auditor General of the State of <br />California shall have the authority to audit, examine and make <br />excerpts or transcripts from records, including the COUNTY OF <br />SANTA BARBARA'S invoices, materials, payrolls, records of <br />personnel, conditions of employment and other data relating to all <br />matters covered by this Agreement. <br />The COUNTY OF SANTA BARBARA agrees to provide any <br />reports requested by the CITY regarding performance of the <br />Agreement. <br />5. Records Maintenance <br />Records, in their original form, shall be maintained in accordance with <br />requirements prescribed by the CITY with respect to all matters <br />covered on file for all documents specified in this Agreement. <br />Original forms are to be maintained on file for all documents specified <br />in this Agreement. Such records shall be retained for a period of <br />three (3) years after termination of this Agreement and after final <br />disposition of all pending matters. "Pending matters" include, but are <br />not limited to, an audit, litigation or other actions involving records. <br />The CITY may, at its discretion, take possession of, retain and audit <br />said records. Records, in their original form pertaining to matters <br />covered by this Agreement, shall at all times be retained within the <br />County of Orange unless authorization to remove them is granted in <br />writing by the CITY. <br />6. Subcontracts and Procurement <br />The COUNTY OF SANTA BARBARA shall comply with the <br />federal and the COUNTY OF SANTA BARBARA standards in <br />14 <br />
