Section 20. NOTICES <br />All notices to be given under this, Agreement shall be made in writing and mailed by first <br />class mail to the other party at its address set forth herein or at such address as the party <br />may provide in writing from time to time. Any such notice shall be deemed to have been <br />received five (5) business days subsequent to mailing. <br />Section 21. GOVERNING LAW <br />This Agreement shall be governed by the provisions hereof and by the laws of the State <br />of California. <br />Section 22. INDEPENDENT PARTIES <br />Contractor is acting hereunder as an independent party and not as an agent or employee <br />of City. No employee of Contractor is, or shall be an employee of the City by virtue of <br />this Agreement, and Contractor shall so inform each of its employees hired or retained to <br />provide services pursuant this Agreement. Nothing contained in this Agreement will be <br />deemed or construed for any purpose, to establish, between the parties, a partnership or <br />joint venture, a principal-agent relationship, employee-employer relationship or any <br />relationship other than City and supplier. <br />Section 23. ENTIRE AGREEMENT (MERGER CLAUSE) <br />This Agreement, together with the attachments and exhibits attached hereto and made a <br />part hereof, constitute the entire Agreement between the parties with respect to the <br />purchase of the FIM's. All previous proposals, oral or written communication, <br />engineering information or written communication regarding the FIM's included within <br />the Scope of Work of this Agreement, or any other matter occurring prior to this <br />Agreement, are superseded by this Agreement. <br />Section 24. SEVERABILITY <br />Any provision of this Agreement found to be prohibited by law or court order, shall be <br />ineffective to the extent of such prohibition without invalidating the remainder of this <br />Agreement and all other provisions shall remain in full force and effect. <br />Section 25. WAIVER <br />The waiver by a Party of any breach by the other Party of any term, covenant or condition <br />hereof shall not operate as a waiver of any subsequent breach hereof. <br />Section 26. EMPLOYEE HIRING RESTRICTION <br />If during the term of this Agreement, or 90 days after its expiration, City hires or in any <br />way engages any Contractor's employees who is presently performing energy
