<br /> CONSENT TO ASSIGNMENT OF LEASE BY TRUST DEED
<br /> The undersigned, the City of Santa Ana, as Lessor under that
<br /> certain lease, entitled "Novation of Lease," dated March 11, 1974, as
<br /> amended by that certain "Modification to Novation of Lease between
<br /> City of Santa Ana and Riverview Golf," dated April 21, 1975, both of
<br /> which said documents are matters of public record on file in the
<br /> Office of the Clerk of the Council, City of Santa Ana, Orange County,
<br /> California, of that certain real property described in Exhibit A,
<br /> attached hereto and incorporated herein, (hereinafter referred to as
<br /> "said lease as amended"), does hereby consent to the assignment by the
<br /> Lessee under said lease as amended, of the leasehold interest thereunder
<br /> by-deed of trust dated March 15, 1978 (hereinafter referred to as "the
<br /> trust deed") in favor of the First National Bank of Orange County
<br /> (hereinafter called "encumbrancer"), to secure a note in the principal
<br /> sum of $200,000.00, and other obligations set forth in the trust deed,
<br /> which trust deed is recorded concurrently herewith in the Office of
<br /> the County Recorder of Orange County, California. The foregoing
<br /> consent is made and accepted upon and subject to the covenant and
<br /> condition, which shall be binding upon and inure to the benefit of the
<br /> encumbrancer and its transferee(s), that said trust deed and all
<br /> rights acquired thereunder shall be subject to each and all of the
<br /> covenants, conditions and restrictions set forth in said lease as
<br /> amended and to all rights and interests of the Lessor thereunder.
