<br /> <br />food and beverage facilities as relocated, provided the failure <br />by RIVER VIEt~T to obtain or provide such a right of first refusal <br />shall not constitute a default or give rise to a termination <br />hereunder. <br />In the event of such relocation, CONCESSIONAIRE may <br />continue its operations hereunder and is hereby given the <br />following additional options, ail of which are mutually exclu- <br />sive and cumulative, ar~d all or any of which must be exercised <br />in writing within six (5) months prior to the date set for re- <br />location. RIVER VIEti~T shall provide CONCESSIONAIRE with caritten <br />notification of the date fixed for any such relocation nine (9) <br />months prior to the time fixed therefor. <br />(a) If CONCESSIONAIRE receives and exercises a right <br />of first refusal as to the continued operation of all the <br />food and beverage facilities as relocated, and does not <br />exercise the option under sub-paragraph (c) hereof, CONCES- <br />SIONAIRE may choose to terminate this Agreement, and in that <br />event, the termination shall become effective upon the date <br />fixed for relocation, and it shall be deemed a termination <br />by reason of the acts of CONCESSIONAIRE; <br />(b) Should CONCESSIONAIRE receive but not exercise a <br />right of first refusal with respect to all or any of the <br />food and beverage facilities as relocated, and does not exer- <br />cise the option under sub-paragraph (c) hereof, CONCESSION- <br />AIRS may continue to operate the existing restaurant facility <br />and "half-way house" under the terms hereof; <br />(c) CGNCESSIOiJAIR.E is hereby given an option by RIVER <br />VIEbti' to sub-lease from RIVER VIEF7 (subject to approval by <br />the City of Sar,ta Ana a.nd/or the Orange County Flood Control <br />District as may be appropriate or required) for a period of <br />not less than ten (I O) years from the date of the exercise of <br />-21- <br />
