The cost of said audit <br />shall be borne by LESSOR unless results of the audit reveal a <br />discrepancy of more than five percent (5%) between the rental <br />computations reported by LESSE}~.' in accordance with this Lease <br />and the rental computations based upon said audit. In the event <br />the audit reveals a five percent (5%) or greater dig>crepancy, <br />the full cost of the audit, as determined by t'r1e Auditor-Controller <br />of the County of Orange, shall be paid by LESSEE immediately <br />upon receipt of a statement of such cost from LESSOR. <br />17. PRICES OF GOODS AND SERVICES (7.159N) <br />Prices charged for all goods and services, or combinations thereof, <br />supplied to the public on or from the Joint Leasehold, whether <br />the same are supplied by LESSEE or by its sublessees, assignees, <br />concessionaires, or licensees, shall be fair and reasonable,. based <br />upon the following two considerations: <br />A. The Joint Leasehold is intended to serve a public <br />use .and to provide recreational opportunities for <br />the public at fair and reasonable cast; and <br />B. LESSEE is entitled to a fair and reasonable return <br />upon his investment pursuant to this Lease. <br />The Chief Engineer shall have the right at any time and from time <br />to time to review the schedule of prices charged for all goods <br />and services, or combinations thereof, supplied to the public on <br />or from the Joint Leasehold. LESSEE shall provide a complete <br />list or schedule of such prices upon written request by the Chief <br />Engineer. <br />If upon review, the Chief Engineer concludes that any price is not <br />fair and reasonable and so notifies LESSEE, LESSEE shall have <br />the right to confer with the Chief Engineer and to present <br />reasons for said price. If after said conference. the Chief <br />Engineer still concludes that said price is not fair and reason- - <br />able, said price shall be modified by LESSEE, its sublessees, <br />assignees, concessionaires, or licensees, as directed by the <br />Chief Engineer. . <br />LESSEE <br />18. OPERATING HOURS AND PROCEDURES (7.159N) <br />the <br />Operating schedules and operating procedures for each and every <br />separate business activity of LESSEE conducted on or from the <br />Joint Leasehold shall be designed to make all the services to <br />be provided under the terms of this Lease available to the public <br />to the fullest extent reasonable. <br />The Chief Engineer shall have the right at any time and from time <br />to time to review said operating schedules and procedures. LESSEE <br />shall provide a complete schedule of operating hours and a full <br />description of operating procedures upon written request by the <br />Chief Engineer. <br />If upon review, the Chief Engineer concludes that said schedules <br />or procedures fail in any way to assure .adequate service to the <br />feeo-~a I) -14- <br />by the Chief Engineer shall be the maximum charged. <br />
